Announcement PDF ASX/Media Announcement 15 August 2023 Kingston Raises $1million via Share Purchase Plan Kingston Resources Limited (ASX:KSN) (“Kingston” or “The Company”) is pleased to announce the results of the recent share purchase plan (“SPP” or “Plan”) announced to the market on 10 July 2023. The offer was strongly supported, with applications from shareholders totaling $871,000. This will result in the issue of 10,247,017 shares at an offer price of $0.085 per share, under the same terms as per the placement announcement on 27 June 2023. Each investor in the SPP will also be allocated an attaching option on a 1-for-2 basis, at a strike price of $0.14 per share with an expiration date of 31 July 2025. The Plan was jointly underwritten to A$1.0 million by Ord Minnett Limited and BW Equities Limited, and subunderwritten to A$1.0 million by Delphi Unternehmensberatung Akteingesellschaft, an existing major shareholder and sophisticated investor. Allocation of the shortfall “Shortfall Securities” to the sub underwriter will be 1,517,647 Shortfall Securities totaling $129,000, with 758,823 unlisted attaching options. Shortfall Securities will be issued as new ordinary shares, and rank equally in all respects with existing ordinary shares.
